  1. Scope and Reliance on Customer Information

System sizing and runtime estimates are based on load data and specifications provided by the customer. Customer is responsible for the accuracy and completeness of all submitted electrical and equipment information.

Medi-Products is not responsible for performance issues resulting from inaccurate, incomplete, or subsequently changed load conditions.

  1. Runtime and Performance

Runtime calculations are estimates based on stated loads and nominal operating conditions.

Actual performance may vary due to load fluctuations, compressor or motor inrush currents, power factor, battery condition, ambient temperature, installation conditions, equipment changes, or other operating factors.

Runtime is not guaranteed unless expressly stated in writing.

If verified load conditions demonstrate that additional capacity is required, Medi-Products may, at its discretion, offer an upgrade or additional capacity solution. Credit toward upgraded equipment may be based on the age, condition, and value of the originally supplied equipment.

A properly operating system may not be returned solely because actual runtime differs from an estimated runtime.

Customer is responsible for monitoring connected equipment during an outage and confirming that equipment and stored products remain within acceptable operating parameters.

  1. Electrical Safety and Installation

UPS systems store electrical energy. Output terminals, breakers, or receptacles may remain energized even when the system is turned off or utility input power is disconnected.

Power must be disconnected and proper safety procedures followed before servicing.

Input power must match the specified phase, voltage, frequency, and amperage requirements.

Hardwired systems must be installed by qualified licensed professionals in accordance with applicable local, state, and national electrical and safety codes.

Customer is responsible for ensuring the installation location meets applicable ventilation, environmental, fire, and safety requirements.

  1. Battery Systems

Systems may utilize sealed VRLA, lithium-ion, or other battery technologies.

Batteries may contain significant stored energy and may be subject to special transportation, storage, fire-code, or disposal requirements.

Customer is responsible for reviewing applicable product documentation, Safety Data Sheets, local regulations, insurance requirements, and requirements imposed by the Authority Having Jurisdiction.

Medi-Products does not guarantee local code approval or AHJ acceptance unless specifically stated in writing.

  1. Medical Environment Disclaimer

Medi-Products UPS systems are not intended to directly power or support life-support equipment unless specifically designed, certified, and approved for that application.

Systems are intended primarily to provide emergency backup power for equipment including refrigeration, freezers, laboratory equipment, pharmacy equipment, medical appliances, and other non-life-support loads.

Life-support and critical patient-monitoring equipment should utilize independently approved backup power systems appropriate for that equipment and application.

  1. Refrigeration and Stored Product

Customer is responsible for monitoring, testing, maintenance, alarm systems, temperature monitoring, recordkeeping, and operation of refrigerators and freezers.

Customer must independently confirm that stored pharmaceuticals, biologics, laboratory materials, food products, or other temperature-sensitive goods remain within acceptable storage conditions.

Medi-Products is not responsible for loss or spoilage of stored products or merchandise resulting from power interruption, insufficient runtime, refrigeration failure, monitoring failure, or other equipment-related conditions.

  1. Returns

No product may be returned without prior written authorization from Medi-Products and issuance of a Return Material Authorization (“RMA”).

Issuance of an RMA does not guarantee that a refund or credit will be issued.

Before a return is authorized for an alleged defect or performance issue, Customer must reasonably cooperate with Medi-Products’ troubleshooting process. This may include providing photographs, video, equipment specifications, load information, electrical measurements, error codes, or other diagnostic information.

Medi-Products may elect to repair, correct, reconfigure, upgrade, or replace equipment before authorizing a return.

Custom-built, modified, configured, hardwired, special-order, or customer-specific systems are non-returnable once production, procurement, configuration, or modification has begun.

Standard products may be returned only with prior written authorization and must be in acceptable condition.

Approved non-defective returns may be subject to a restocking fee, plus applicable freight, handling, testing, repackaging, refurbishment, supplier, or administrative charges.

Returned equipment is subject to inspection and testing before credit is issued.

Credit may be reduced or denied for equipment that is damaged, incomplete, improperly packaged, altered, installed, used, or otherwise not returned in acceptable condition.

  1. Return Freight

Unless otherwise agreed in writing, Customer is responsible for return freight, packaging, insurance, and risk of loss for non-defective returns.

Original shipping, expedited freight, delivery, installation, and similar charges are generally non-refundable.

Medi-Products will determine freight responsibility for confirmed warranty defects or shipping errors attributable to Medi-Products.

  1. Batteries and Returns

Batteries that have been installed, energized, cycled, damaged, improperly stored, or improperly maintained may not be eligible for return.

Battery returns may also be subject to applicable hazardous-material transportation and shipping regulations.

Customer is responsible for complying with all applicable shipping requirements when returning batteries.

  1. Order Cancellation

Cancellation requests must be submitted in writing.

Orders may not be cancelled once manufacturing, procurement, configuration, modification, or fulfillment has begun without written approval from Medi-Products.

If cancellation is approved, Medi-Products may deduct costs already incurred, including committed material costs, supplier charges, engineering or configuration labor, freight, and other nonrecoverable expenses.

Custom and special-order equipment may be non-cancellable upon order acceptance.

  1. Credits and Refunds

Approved returns or cancellations may result in a credit, replacement, equipment upgrade, or refund at Medi-Products’ discretion and subject to applicable charges.

Credits will be based on the amount actually paid for eligible equipment, less applicable restocking fees, freight, damage, testing, refurbishment, or other charges.

Credit will not be issued until returned equipment has been received and inspected.

  1. Warranty

Warranty applies only to defects in materials and workmanship during the applicable warranty period.

Warranty does not cover misuse, improper installation, improper wiring, incorrect electrical supply, external electrical events, environmental damage, physical damage, battery degradation, improper storage, lack of maintenance, unauthorized modification, or use outside the equipment specifications.

Medi-Products’ sole obligation under warranty shall be, at its option, to repair or replace defective components covered by the applicable warranty.

  1. Limitation of Liability

To the maximum extent permitted by law, Medi-Products shall not be liable for loss of revenue, profits, business opportunity, delayed shipments, business interruption, downtime, loss of pharmaceuticals, biologics, food products, laboratory materials, or other stored products, or for indirect, incidental, special, or consequential damages.

Medi-Products’ total liability arising from the sale or use of equipment shall not exceed the purchase price paid for the specific equipment giving rise to the claim.

  1. Exceptions

Any exception or modification to these terms must be approved in writing by an authorized representative of Medi-Products.

  1. Governing Law

These terms are governed by the laws of the State of New York.

Acceptance of a Medi-Products quotation, issuance of a purchase order, or purchase of equipment constitutes acceptance of these Terms & Conditions, Warranty and Return Policy.
